Tsekrs Terms of Service
“Company” means Quantumtilt LLC, a Nevada limited liability company, d/b/a Tsekrs. “Worker” is an independent provider. “Client” requests work. Draft for counsel; not legal advice.
1. Platform; no employment
Company operates software, discovery, and payments. It does not perform cleaning or construction. Worker is an independent contractor, not an employee, partner, or agent. Worker controls whether to accept jobs, means and methods, tools, and may work for competitors. Fees are marketplace access fees, not wages. Worker is solely responsible for taxes. Stripe Connect files Form 1099-K on Connect volume.
California ABC: Worker is free from Company control in fact; work is outside Company’s usual business of software and payments; Worker is customarily engaged in an independently established trade.
2. Contract is Client–Worker
Marketplace jobs are a direct services contract between Client and Worker. Company is not the general contractor. Legacy Tsekmo jobs use frozen /api/stripe/jobs/* endpoints as a payment instruction only.
3. Tiers and same-day lapse
Tier 1: unlicensed / non-permit work. Tier 2: active license or required cert plus GL. Tier 3: KYB entity, GC license, GL, WC if employees, bond. If a Tier 2/3 license or commercial policy expires, Company suspends the affected role at 00:00:01 America/Los_Angeles on the expiry date. Stripe accounts are not deleted.
4. Escrow
Tier 1: capture 24 hours after complete unless a dispute is open. Tier 2: capture on digital sign-off or 7-day deemed acceptance. Tier 3: ACH/wire to platform; Transfer of net on milestone sign-off. Tips are voluntary and paid 100% to Worker.
5. Insurance and property damage (Tier 2/3)
Minimum GL $1,000,000 / $2,000,000, WC as required, auto $1,000,000 if a vehicle is used, bond as required. Quantumtilt LLC shall be additional insured, primary and non-contributory, with waiver of subrogation. Worker assumes all risk of property damage arising from performance. Client and Worker waive claims against Company for property damage except Company’s willful misconduct. Tender first to Worker’s insurers.
6. Indemnity; limitation
Worker indemnifies Company for performance, injury, property damage, helper misclassification, license violations, and taxes. Company’s aggregate liability for a job is capped at the platform fee actually retained on that job. No consequential damages.
7. Reviews, FCRA, communications
Reviews stay sealed 14 days or until both submit. Background checks use FCRA vendors. SMS/push consent is for jobs, lapse, and security.
8. Arbitration
Individual AAA arbitration in Las Vegas, Nevada, Nevada law, without prejudice to non-waivable California Labor Code rights. Class actions waived to the extent permitted.
