Independent Contractor Agreement

This Agreement is between you (“Contractor”) and Quantumtilt LLC, a Nevada limited liability company, d/b/a Tsekrs (“Company”). It replaces any prior in-product draft that named “Tsekrs Inc.”

1. Contractor is an independent contractor, not an employee, partner, or agent of Company.
2. Contractor provides services for selected roles using Contractor’s own tools, transport, helpers, and methods.
3. Company remits the agreed net via Stripe Connect after the applicable escrow condition (T1 24h, T2 sign-off, T3 milestone).
4. Contractor is solely responsible for taxes, licenses, safety, and insurance. Company causes Stripe to issue Form 1099-K on Connect volume.
5. Tier 2/3 Contractors maintain GL (and WC/bond as required), name Company additional insured, and assume property-damage risk.
6. Contractor indemnifies Company for claims arising from performance. Company does not supervise jobsite means and methods.
7. Credential lapse suspends marketplace access the calendar day of expiry in America/Los_Angeles without deleting the Connect account.
8. Electronic signature (ESIGN/UETA) is binding. Nevada law, AAA arbitration in Las Vegas, as in the Terms.
